Regulation G

Regulation G is a disclosure regulation adopted by the Securities and Exchange Commission (SEC) that governs the disclosure of non-GAAP financial measures(1). The Regulation requires public companies that disclose or release non-GAAP financial measures to provide a reconciliation of the disclosed non-GAAP financial measure to the most directly comparable U.S. GAAP financial measure.

1) Non-GAAP financial measures are numerical measures of a company's historical or future financial position or cash flows that either 1) exclude amounts, or are subject to adjustments that have the effect of excluding amounts, that are included in the most directly comparable measure calculated and presented in accordance with accounting principles generally accepted in the United States (U.S. GAAP) or 2) include amounts, or are subject to adjustments that have the effect of including amounts, that are excluded from the most directly comparable measure so calculated and presented.
